Senior Manager Legal Affairs

Reporting to the SVP Legal Affairs, you will be an experienced lawyer who can support the business by assisting with various matters, including but not limited to aircraft finance, finance and engineering legal matters across the Company’s operations and specific to the aircraft finance Portfolio, (your assigned “Portfolio”).

Utilising your specialist knowledge and experience, you will be the main legal advisor on your specifically assigned Portfolio and, as and when required, you will manage and/or provide support to the other lawyers in the team in your Portfolio and within other Portfolios.

In addition, you will support the SVP Legal Affairs with day to day management of the Legal department and deputise in his absence

KEY ACCOUNTABILITIES

Key Activities

1. Responsible to SVP Legal Affairs for your assigned specialist Portfolio, junior lawyers and any interns under your management and/or any other general legal matters or projects which may arise from time to time

2. Evaluate and develop risk policies and internal legal positions for the business decisions and operations and template documentation where applicable within the specialist Portfolio.

3. Manage and lead on complex business critical matters with multiple stakeholders whilst providing accurate advice to the SVP Legal Affairs and senior management within the specialist Portfolio.

4. Provide timely (and where possible proactive) advice and risk management strategies to the SVP Legal Affairs and senior management on possible legal issues arising in relation to the specialist Portfolio.

5. Responsible for ensuring the effective running within the specialist Portfolio of large medium and small transactions with little support from SVP Legal Affairs and the running by respective team members of their transactions within the specialist Portfolio.

6. Lead, mentor develop and train legal personnel to help them be successful in their roles and to progress in their skills and abilities.

7. Facilitate, develop, and assist with training including on legal training seminars for internal clients to help raise awareness with respect of legal matters.

8. Must have excellent communication and interpersonal skills and a strong sense of team work.

9. Provide transactional structuring advice, draft, review, proof-read, amend, negotiate a broad range of legal documents, correspondence, and agreements (including specialist agreements), and assist (where possible) the business in implementing correct procedures when approaching the preparation and negotiation of such agreements within the specialist Portfolio.

10. Assess and advise on liabilities, legal restrictions and risks of proposed legal transactions and devise creative and practical legal solutions to meet the commercial needs (where necessary having obtained legal opinions from external legal counsels) for the specialist Portfolio

11. Identify, advise, implement and develop general and specialist legal strategy on the specialist Portfolio with the SVP Legal Affairs.

12. Must possess excellent judgment and be able to work independently and juggle multiple priorities, in a fast-paced high growth environment.

15. Excellent analytical and problem solving skills, sound commercial business judgment and strategic legal thinking, experience analysing and managing risk, all of which may be applied to analysing and helping mitigate legal risk within the specialist Portfolio.

16. Ability to attract, develop, direct, manage, and motivate a team of professionals.

17. Build and manage working relationships with market leading external legal counsel to obtain suitable advice, which can be relayed to the business, and manage fees effectively to achieve desired results at reasonable costs within the specialist Portfolio.

18. Responsible for the continuous improvement of standard form agreements and implementation of legal processes and procedures with respect of the specialist area.

19. Responsible for any other work directed by SVP Legal Affairs

20. Produce and manage Powers of Attorney for your specific Portfolio and any other team Portfolios as may be required from time to time.

21. Undertake general legal research and investigation and prepare reports, guidance and legal notices for various departments relevant to the specialist Portfolio or as directed by SVP Legal Affairs from time to time.

22. This Portfolio is focused on various financings, aircraft/engine financing and engineering contracts undertaken by the airline. This includes, but is not limited to an understanding and experience in the negotiation and drafting of: operating leases, finance leases, loans, security documents, Ex-Im transactions, incorporation of SPVs, syndicated financings, and other major contracts ( aircraft maintenance), etc.

Qualifications:

MINIMUM QUALIFICATIONS / EXPERIENCE/ KNOWLEDGE / SKILLS

Minimum Qualification

• Educated to Tertiary standard,
• Degree in Law or equivalent or a Professional Diploma

Experience

•7+ years post-graduation experience from a recognizable university with excellent academic results.

•Must have a minimum of 5 years of specialized experience in the relevant practice area post-qualification.

•Experience in the Aviation Finance, Banking & Finance, and/or asset based financing transactions and having worked in the Arabian Gulf preferred.

•Previous in-house legal experience preferred or aviation finance/banking and finance experience in private practice.

Knowledge / Skills

•Excellent PC skills and proficient in the use of MS Office (Excel, Word, PowerPoint).

•English fluency, fluent oral and excellent written communication skills.

•Arabic knowledge an advantage, but not essential.

Certificate / License required

•Law degree and Qualification Certificate preferably with a Masters.

•Practising certificate or equivalent (non-practising solicitors may also apply).
