Senior Paralegal Specialist

Description

McDermott is looking for an energetic Paralegal to assist its Legal Department with the management of day to day general corporate legal matters, including bid and contract related support, legal research, both domestically and internationally. This individual will play a key role in the department’s ongoing mission to provide legal support to all of McDermott’s business units. The paralegal should expect to interact with internal McDermott employees as well as external lawyers and non-lawyers in a professional manner on a variety of corporate legal matters and assist with managing and ensuring compliance of the Company in general and other duties as assigned.
Detailed Description

Main responsibilities:
Reviewing and drafting corporate minutes and resolutions, articles of association and assisting in special corporate projects

Drafting notices of corporate meetings

Draft, prepare and review corporate board resolutions, director and officer changes, certifications, affidavits, proxies and powers of attorney

Assisting internal counsel in connection with review and revision of contracts

Maintaining and organizing corporate records and filings.

Assisting the formation and dissolution of corporate entities

Assisting internal and external counsel in connection with corporate transactions. Contributing to the development and maintenance of a corporate SharePoint site, including compiling group structure charts and sending regular corporate updates and reports

Implementation and maintenance of a company-wide centralized filing system

Successfully complete special projects and other assignments as requested

Provide general administrative support

Requirements

Education:
Degree / equivalent in Paralegal studies

Skills and Experience:
Bilingual (able to read, write and speak fluently) English and Arabic

Minimum of 5 years paralegal experience as a corporate paralegal or specialist at either a law firm or in-house legal department

Experience in a variety of general domestic and international corporate legal matters, M&A; transactions, commercial contracts, corporate governance

International experience preferred; particularly in the Middle East

Experience in the oil and gas industry (preferred)

Manage various legal projects and initiatives

Identify and resolve or escalate issues in a timely manner

Excellent written and verbal communication skills

Ability to interact with people at all levels of organization and external contacts

Prioritize and handle numerous competing demands in fast paced environment

Excellent multitasker

Strong computer skills, including Word, Excel and Power Point

Special Instructions to Applicants
